Terms of use of the Failiem.lv / Files.fm platform

These terms govern your use of the Failiem.lv and Files.fm websites, applications, APIs and related services. By using the platform, you agree to these terms, the Privacy Policy and any additional terms for the specific service, if applicable.

Basic rules

1. Scope and definitions

  1. These terms apply to the Failiem.lv and Files.fm websites, accounts, mobile and desktop applications, APIs, sharing tools, file storage, publishing, payments, and other platform-related services.
  2. User is any person or organization that visits the Platform, creates an account, stores or shares content, purchases content, or uses a Platform integration. Service is the Platform features that are available to a specific User under a plan, order, or individual agreement.
  3. Additional terms, an order document, or a company agreement may apply to a specific service. If such a document conflicts with these terms, the specific service document will take precedence only to the extent that it directly governs.

2. Consent, Account and Security

  1. By using the Platform or by clicking the consent button during the registration or ordering process, you acknowledge that you have read and agree to these terms. If you do not agree, you may not use the Platform.
  2. The information provided in your account must be true, current and complete. If you are using the Service on behalf of an organization, you represent that you have the authority to represent that organization.
  3. The user is responsible for the confidentiality of access data, the secure use of devices and activities on their account. Any suspicious or unauthorized access must be reported to Files.fm immediately and the necessary password or access recovery measures must be taken.
  4. The Platform may be used by persons who are at least 13 years old, or by younger persons only if permitted by applicable law and supervised by a legal guardian. The Organization Account Administrator is responsible for the legal use of its users.

3. Service, availability and changes

  1. The Platform provides the ability to upload, store, manage, download, receive, share, and publish digital content, as well as other tools offered in the User's plan or order at that time. Features, limits, and available connections may vary by plan, product, country, and individual agreement.
  2. Files.fm takes reasonable measures to ensure the operation of the Service, however, access may be temporarily interrupted due to maintenance, security incident, communication or third-party infrastructure disruptions, as well as other reasons beyond the control of Files.fm.
  3. Files.fm may change, add to or discontinue certain features, plans or integrations. The current version of these Terms shall enter into force when it is published on this page, unless otherwise specified in the specific notice. Material changes will be notified by means available on the platform or to the email address specified in the account, if required by applicable law or a specific agreement.
  4. If the User has a separate service agreement or SLA, it sets out the relevant guarantees and availability obligations. The Public Terms do not in themselves create a specific guarantee of continuous availability or data recovery.
  5. Material changes to fees, subscriptions or plans that affect the User's payment will be notified at least 30 days in advance to the email address provided in the account, unless otherwise provided by applicable law, the specific order or contract.
  6. Files.fm may notify Users on the Platform or via email about news, changes, security and operations related to the Service. Mandatory service, security, billing and legal notices cannot be disabled; informational or marketing notices can be opted out of in your account settings, if permitted by law.
  7. Commercial use, sale of content or public distribution is permitted only as permitted by the relevant Service, plan, order or contract; otherwise, prior approval from Files.fm is required.
  8. The User is obliged to periodically review the current version of these Terms and Conditions and pay attention to service notifications. Continued use of the Service after the changes come into effect constitutes acceptance of the changes, to the extent permitted by applicable law.

4. User Content and Technical Processing

  1. The User retains the rights to the files, texts, images, videos, audio, documents and other content that they upload or create on the Platform. The User is solely responsible for ensuring that they have all necessary rights and permissions to use this content.
  2. In order to provide the Service, the User grants Files.fm a limited, non-exclusive and worldwide right to use, store, copy, technically modify, index and transmit the content only to the extent necessary for storage, backups, previews, security, sharing and the functions requested by the User.
  3. If the User chooses to make the content public, he grants Files.fm the right to technically display, distribute and make available this content in accordance with the chosen publishing mode. The User can change the access settings or revoke the publication if the specific function technically allows it.
  4. The user is responsible for backing up important content, unless otherwise specified in a separate agreement. The processing of personal data is governed by the Privacy Policy, but organizations and corporate customers may require a separate data processing agreement.

5. Permitted Use and Prohibited Content

  1. The Platform may not be used to upload, store, publish, sell or distribute content that infringes the copyright, trademark, personal data protection, trade secret or other rights of third parties.
  2. Fraud, phishing, spam, chain letters, unauthorized advertising, promotion of violence or hatred, organizing illegal activities, distributing malware, attempting unauthorized access, and any action that threatens the security of the platform or others is prohibited.
  3. You may not circumvent technical limitations, use automated means to collect excessive data, interfere with the operation of the Service, impersonate another person, or use the platform in a manner that poses a disproportionate risk to infrastructure, privacy, or security.
  4. Files.fm may, to the extent permitted by law and the specific situation, review, restrict, block or remove content, as well as suspend an account, if there is reasonable suspicion of a violation of these Terms, the law or the rights of a third party, or if it is necessary to protect security.
  5. Reports of alleged copyright infringement or harmful content may be submitted via the contact form , selecting the “Content Complaints” category, if available. The report must include the content, the basis for the alleged infringement, the contact information of the notifier, and other information necessary to evaluate the request. Files.fm may request additional information.
  6. It is prohibited to use the Service to violate a person's honor, dignity or privacy, to threaten, intimidate, harass or distribute vulgar, obscene or otherwise offensive content.
  7. It is prohibited to publish pornographic or sexually explicit content, as well as to advertise sexual services, video chat, or work in video chat.
  8. It is prohibited to advertise unlicensed financial services, illegal competitions, or pyramid schemes.

6. Sharing, disclosure and external access

  1. The User chooses whether the content is private, accessible via a link, password protected, shared with specific recipients, or publicly visible. A unique link is not publicly displayed by default, and the User is responsible for issuing and revoking the link, password, and access rights.
  2. Public profiles, galleries, catalogs, Library, and Discover may make content available to an unspecified number of people and, depending on settings, searchable or displayed in platform catalogs. The choice of publication is the responsibility of the User.
  3. Folders for receiving files, embedded forms, APIs, WebDAV, FTP/FTPS, and other integrations may allow third parties to submit or access content. The user should evaluate the configuration of these tools and the content received as with any other external content.
  4. Files.fm is not responsible for the recipient's use of the User's shared content, unless otherwise specified in the specific service agreement. If access has been granted in error, the User must immediately revoke the link or rights and inform the affected parties, if necessary.

7. Subscriptions, payments and refunds

  1. Before making a payment, the User is shown the relevant price, currency, billing period, plan and relevant restrictions. The order is confirmed when the User confirms it during the payment process and the payment is accepted.
  2. If a recurring subscription is selected, the User authorizes the payment service provider to repeatedly charge the selected plan and period until the subscription is canceled or otherwise terminated. Information about the next payment is provided in the account or in a form available during the payment process.
  3. A subscription can be canceled in the "My Subscriptions" section of your account or through the communication channel specified for the specific service. Cancellation stops future automatic payments, but does not in itself cancel a payment that has already been duly made or terminate the period for which the Service has already been paid, unless otherwise provided by law or a separate agreement.
  4. If the payment is unsuccessful, Files.fm may send a notification, retry the payment, and restrict paid features or access in accordance with the actual billing policy. The user is responsible for keeping payment and contact details up to date.
  5. Refunds, withdrawal rights and their exceptions apply in accordance with applicable law, the information provided at the time of payment and the terms of the specific service. If access is restricted or an account is deleted due to a violation of these terms, payments will generally not be refunded, to the extent that this does not conflict with mandatory consumer rights.
  6. Files.fm may also offer photo prints and other personalized print products. Such products may be manufactured and delivered in cooperation with the partner “Berga foto pakalpojumi”, while paper photo prints are automatically manufactured in cooperation with the partner Fotki. The specific order price, production, delivery, cancellation and refund conditions are specified during the purchase process or in the applicable partner terms.
  7. If the product is personalized and made to order by the User, the right of withdrawal and refund options may be limited to the extent permitted by applicable law; the specific conditions are specified in the purchase process or in the partner's terms.
  8. The payment for the selected subscription period is charged in advance. Key purchase details, including price, billing period and renewal terms, are displayed at checkout, and a purchase confirmation or invoice is sent to the email address provided in the account, if technically possible.
  9. If a recurring payment is declined, Files.fm may retain the data in your account and retry to collect the payment after 1, 5, 10, and 20 days. Failed payments may be applied to your next payment until your subscription is canceled, your paid features are restricted, or otherwise terminated.
  10. Business account, Document Management System and server rental services under an individual contract can be paid for by invoice and bank transfer. The payment, cancellation and price conditions specified in the individual contract, order or invoice apply to corporate customers. To cancel such a service, a request must be sent to [email protected] at least 30 days in advance, unless otherwise specified in the individual contract.

8. Terms of publishing and selling digital content

  1. Failiem.lv/Files.fm may provide a technical facility for the User to publish or sell digital files. In such a transaction, the User is the Seller, and the person purchasing access or download is the Buyer.
  2. The Seller determines the content, price, and license terms offered and is fully responsible for the right to sell the content, the accuracy and quality of the content description, tax compliance, and license compliance. The license terms must be clear, precise, and legally enforceable. The Seller is also responsible for obtaining the necessary rights and permissions, as further specified in this section. The Buyer may use the purchased content only in accordance with the license terms displayed at the time of purchase.
  3. Unless otherwise specified in the sales process, a 10% platform and payment processing fee is deducted from the Seller's transaction amount. The Buyer is subject to a non-refundable processing fee of EUR 0.29 per transaction. Applicable fees are displayed in the relevant process and may be changed with prior notice or updated commercial conditions.
  4. In order to receive a payout, the Seller must provide complete recipient information and undergo verification as required by Files.fm. Files.fm may request additional information about the Seller, the content offered for sale or related transactions and customers for compliance and risk screening purposes. Withdrawal to an EEA IBAN account or PayPal is generally available if the accumulated amount is at least 10.00 EUR; a withdrawal request may be submitted no more than once every 30 days. Files.fm will transfer the accumulated funds no later than 30 calendar days after receiving the withdrawal request, provided that the information is correct and complete and no additional verification is required.
  5. Files.fm may withhold, restrict, or refuse to pay funds if identity, payment, fraud, or rights verification is required, if recipient information is incomplete, or if there is a dispute about the transaction. The seller is responsible for any taxes and other fees that may apply.
  6. Notifications of alleged infringement, unauthorized sale, or license dispute may be submitted via the contact form and, if available, by selecting the “Content Complaints” category. The notification must state sufficient and legally valid grounds for the claimed right or alleged infringement. Files.fm may remove or restrict access to content, suspend payments, and request additional information while the request is being evaluated.
  7. These terms also apply to public file directories, file repositories and embedded stores on external websites, as well as their Users, Buyers and other persons who access them.
  8. The Seller certifies that it has all necessary rights, permissions and agreements with copyright holders, co-authors and other persons to publish and sell the content and grant the specified license to the Buyer.
  9. Files.fm provides the technical infrastructure and acts as a platform and technical or payment intermediary between the Seller and the Buyer. Unless otherwise specified, the Seller is responsible for the content, its description, quality, rights and license enforcement.
  10. The minimum price for a file to be sold is 1.00 EUR, unless otherwise specified in the sales process or in a specific product.
  11. The buyer can pay for the purchase with the payment methods available during the purchase process. Their availability may vary depending on the country, bank and payment service provider.
  12. After each completed transaction, the System automatically generates a purchase confirmation and invoice and sends them to the Buyer's email address registered in the System. The confirmation or invoice shall indicate at least the date of purchase, the File(s) purchased, the applicable License Terms and the total amount paid. The Seller shall receive a notification of the transaction, including information about the Buyer, if available, the Files purchased and the purchase amount.
  13. The Seller's account contains transaction information, including the transaction date, Buyer's name, if available, the names of the purchased Files, the applicable License Terms, the price, platform and payment fees, and the total accumulated balance in EUR.
  14. Files.fm may, by prior notice to the email address specified in the User's account, set off mutual claims or withhold amounts that the User must pay to Files.fm.
  15. Files.fm does not itself verify the ownership of the rights to each published File and does not have a general obligation to proactively monitor all published content, but it may conduct checks and act in accordance with these terms and conditions and the law.
  16. Files.fm may refuse to register a Seller or restrict, suspend or deny access to selling features if the Terms, laws or there is reasonable suspicion of violation or abuse.
  17. After a successful purchase, the Seller grants the Buyer a license to use the purchased File in accordance with the License Terms that were visible before and at the time of purchase.

9. Public profiles, integrations and specialized services

  1. Users and organizations may create public profiles, catalogs, galleries, or archives to provide access to content to a wider audience, including for educational, preservation, or commercial purposes, subject to copyright and the public interest. Files.fm may display, aggregate, and promote User's publicly available content in the Library, Discover, or other catalogs on the platform.
  2. Mobile and desktop apps, synchronization, APIs, MCP, WebDAV, FTP/FTPS and other integrations are available only to the extent and with the limitations specified in the specific product or documentation. The user is responsible for the security of access keys, passwords and integrations.
  3. Corporate accounts, document management, server rental and other specialized services may have separate user, administrator, storage, security, support and data processing terms. An individual agreement or order may specify specific service arrangements, but commercial use outside of the relevant plan or feature may require prior approval from Files.fm.
  4. If electronic signature, identification or other external service providers are used, the terms and conditions of these providers may also apply to the relevant service. The user is responsible for the content of the submitted documents and their signing rights.
  5. Automated, AI, OCR, preview or security screening features are only provided if they are enabled for the specific User. The results of these features may be incomplete and should therefore be verified by the User and should not be relied upon as the sole basis for making legally, medically or financially significant decisions.
  6. If a User wishes to remove their content from the public catalog or Discover, they can submit a request using the contact form and indicating which content needs to be removed.
  7. A user with an active Business subscription can request instructions and integration code for embedding the File Store on their website by sending a request to [email protected] .

10. Suspension, termination and data lifecycle

  1. The User may terminate the use of the account or a specific Service by following the procedure specified in the account and the specific agreement. Before closing the account, the User must download and save the necessary content.
  2. Files.fm may immediately, even without prior notice, restrict or suspend access to, or delete, content or a free account if necessary to protect security, legal acts, third party rights, payments or these Terms. To the extent possible, Files.fm will indicate the reason and further action.
  3. The consequences of plan cancellation, downgrade, late payment, or account closure depend on the specific Service and account status. Access to paid features may be restricted if the applicable plan or payment is no longer valid.
  4. Upon account closure, suspension, or termination of the Service, content and technical records may be deleted, anonymized, or retained for as long as necessary to provide the Service, security, dispute resolution, accounting, or legal compliance. The specific period, if applicable, may be specified in the Privacy Policy, plan, or individual agreement.
  5. Provisions regarding intellectual property, payments, liability, disputes and other rights that by their nature should survive account termination shall remain in effect to the extent necessary.
